B2B terms for KonzeptIQ services
General Terms and Conditions of Scale Up Group SL for services offered under the KonzeptIQ brand.
1. Provider and contracting party
The contracting party is Scale Up Group SL, Calle Gran Via Carles III, 94, 08028 Barcelona, Spain, CIF B75849679. KonzeptIQ is a service of Scale Up Group SL.
2. Formation of contract
The presentation of packages and prices on the website is an invitation to make contact and does not constitute a binding contractual offer. Submitting the contact form does not create a contract. A contract is formed only through an individual order confirmation, acceptance of an offer or another clear agreement between the parties.
3. Scope of services
The specific scope of services is determined by the selected package, the service description and, where applicable, an individual offer. Additional services beyond the agreed scope are provided only by separate agreement.
4. Customer cooperation
The customer provides the information, copy, images, logos, access data and approvals required for implementation in due time. Delays caused by missing or late cooperation will reasonably postpone agreed project deadlines.
The customer warrants that it holds the necessary rights to the content provided and that its use does not infringe third-party rights.
5. Revision rounds and changes
The number of included revision rounds depends on the booked package or individual service description. Changes outside the agreed scope may be offered as additional services and charged separately.
6. Hosting, domain and email
Where agreed, KonzeptIQ supports the setup and technical connection of hosting, domain, SSL and business email addresses. Ongoing third-party fees are included in the price only if explicitly agreed. Contracts with hosting, domain or email providers may be concluded directly between the customer and the respective third party.
7. Prices, VAT and payment
All prices are net plus legally applicable VAT where applicable. For cross-border B2B services within the European Union, the reverse-charge mechanism may apply if the legal requirements are met.
Payment deadlines and payment method are stated in the respective offer, order confirmation or invoice.
8. Usage rights
After full payment, the customer receives the usage rights required for the agreed purpose in the work individually created for them, provided no third-party rights conflict. For third-party components, fonts, images, plugins, themes or other licensed content used, the respective license terms also apply.
9. Acceptance and defects
After completion, the customer reviews the provided website and reports recognizable defects within a reasonable period. Legitimate defects are remedied within the scope of statutory warranty.
10. Availability of external services
KonzeptIQ is liable for disruptions or changes involving hosting, domain, email, payment, mapping, analytics or other third-party providers only where the cause lies within its own area of responsibility. Statutory customer claims remain unaffected.
11. Liability
Statutory liability rules apply. Any limitation of liability does not apply to intent, gross negligence, injury to life, body or health, or where liability is mandatory by law.
12. Ongoing website maintenance, SEO and LLM/AI optimization
Where ongoing maintenance, content, SEO or LLM/AI visibility services are agreed, the monthly scope is based on the booked package or individual order confirmation. Additional services not expressly agreed may be offered separately.
Search engines, AI providers and other platforms independently decide on crawling, indexing, rankings, citations, recommendations and presentation. KonzeptIQ owes the professional implementation of the agreed optimization measures, but not any specific ranking, traffic level, revenue, number of leads or mention by a particular platform.
Contract duration, billing period and termination options for ongoing support services are set out in the respective offer or order confirmation.
13. Social media services
Where social media management is agreed, the scope of content planning, creation, platform adaptation, publishing and analysis is based on the booked package or individual order confirmation.
The customer provides required access, company information, logos, images, videos and other materials in due time and warrants that they hold the necessary usage and personality rights. On-site photo or video productions are included only if expressly agreed; otherwise they are offered separately.
Social media platforms independently determine technical availability, delivery, reach and algorithms. KonzeptIQ owes the professional implementation of the agreed social media services, but not any specific number of followers, reach, interactions, leads, revenue or other platform results.
Community management, paid advertising, advertising budgets and paid ads campaigns are included in the scope only if expressly agreed.
14. Recruiting services
Where recruiting services are agreed, the scope is based on the selected package or individual order confirmation. It may include, in particular, target profile definition, candidate outreach, digital application process, AI-supported prioritization, telephone pre-qualification, optimization and structured candidate handover.
Included advertising budgets are used for candidate outreach within the agreed scope. Additional advertising budgets approved by the client are charged separately. Platforms and their algorithms determine actual delivery and reach.
KonzeptIQ owes the professional implementation of the agreed recruiting measures, but not any specific number of applications, candidates, interviews or hires. The final selection and hiring decision remains with the client.
The client provides the information required for the target profile, job description, employer positioning and candidate review in due time.
15. Lead generation services
Where digital lead generation services are agreed, the scope is based on the selected package or individual order confirmation. It may include, in particular, strategy, selection of suitable advertising channels, campaign setup, funnel or landing page, tracking, forms, A/B tests, retargeting and ongoing optimization.
Advertising budgets, platform costs and special third-party tools are included in the remuneration only if expressly agreed. Where possible, advertising budgets are billed directly through the client’s accounts with the respective platform providers.
KonzeptIQ owes the professional implementation of the agreed lead generation and optimization services, but not any specific number of leads, customers, revenue, closing rates or cost per lead. Results depend, among other things, on the offer, target group, market, competition, region, advertising budget, platform algorithms, creatives, funnel and the client’s handling of incoming leads.
16. Data protection
The Privacy Policy privacy policy of KonzeptIQ applies. Where KonzeptIQ processes personal data on behalf of a customer within a customer project, a separate data processing agreement will be concluded if required.
17. Applicable law and jurisdiction
Spanish law applies to B2B contracts, excluding conflict-of-law referral rules, unless mandatory statutory provisions provide otherwise. Where a jurisdiction agreement can be validly made, Barcelona is the place of jurisdiction.
18. Final provisions
Individual agreements in the offer or order confirmation take precedence over these terms. Amendments and additions must comply with the form permitted under the respective contract.
